Terms and Conditions
These terms are the contract between you and BlueQ for the BlueQ workspace, the POS till, the online store, share links, the client portal, and the developer API. They are an electronic contract under the Electronic Transactions Act, 2008 (Act 772). Creating a workspace, ticking the agreement at registration, or continuing to use BlueQ after the date above is how you accept them.
“You” means the business that opens the workspace and the person who has authority to bind that business. “We” and “BlueQ” mean the operator of the BlueQ service. Prices are in Ghana cedis. The service is aimed at businesses in Ghana and may be used from other countries on these same terms.
Who may open a workspace
You confirm that you are at least 18 years old and that you have authority to bind the business, whether it is registered under the Companies Act, 2019 (Act 992), the Registration of Business Names Act, 1962 (Act 151), or you trade in your own name. The person named on the account is our contact for notices, billing and data-protection requests.
What you agree to
- Use BlueQ for a lawful business, and keep user access, passwords and API keys under your control.
- Pay the plan, message and other fees you choose, through the payment provider shown at checkout.
- Treat client, staff, supplier and shopper records in line with the Data Protection Act, 2012 (Act 843), as set out in the privacy policy.
- Follow the module rules below. Each module is part of the service only while your plan includes it and you leave it switched on.
Changes
We may update these terms, the privacy policy or the API terms when the product or the law changes. The date at the top of this page will change, and a material change will also be shown in the workspace or by email to the account contact. Continuing to use BlueQ after that date is acceptance of the updated terms. If you do not agree, close the workspace before the new terms take effect.
The services
BlueQ is business-management software. A workspace can include the modules below. What you see depends on your business type, your plan, and the roles you give each user. You own the business records you put in. We host and process them so the service can run.
Dashboard
The dashboard shows a live summary of orders, invoices, expenses, stock and income for the people you allow to see it. Figures follow the records in the workspace. They are management information for your team.
Invoices
You can prepare proformas, invoices, receipts and recurring bills, share them by a link, email, SMS or WhatsApp, and attach a pay-online button through a payment provider you connect. Reminders go out only on the schedule and channel you set. Each document is your document. You are responsible for the customer, the description, the price, the tax and the due date on it.
Orders and production
Approved work can be tracked from pending through production to done, with notes and the staff you assign. Status in BlueQ is your operational record. Delivery to your customer remains your obligation.
Clients and the client portal
Client records can hold a name, phone, email, address, birthday, balance, delivery contacts and a portal login. People you invite to the client portal see only what you open to them. You decide what a client can view, and you answer your clients when they ask about their own records.
Sales
Walk-in, POS and invoice payments can sit in one sales ledger, with the payment mode and the cashier or user who recorded the sale. You are responsible for the accuracy of that ledger and for who is allowed to record or reverse a sale.
Suppliers
Supplier records hold the business and contact details you enter, and can be linked to expenses and stock. You are responsible for the contracts you have with those suppliers.
Expenditure
You can record expenses, line items, receipts and imports. An expense that you mark as adding stock can change inventory counts. Deleting those records can reverse that stock movement. Keep copies of receipts you still need for the Ghana Revenue Authority.
Stock and inventory
Stock covers quantities, variations, history and restock prompts, including expiry dates where you record them. Counts change from sales, store orders, POS and linked expenses according to the settings you choose. Expiry and restock prompts are aids for your shop. A pharmacy, clinic or food business still meets its own duties to the Pharmacy Council, the Health Facilities Regulatory Agency or the Food and Drugs Authority.
Products, services and menu
The catalogue is the list of what you sell: products, services or menu items, with prices, images, categories and variations. Publishing an item to the online store or the POS till is your choice. You are responsible for the description, the price and any claim you make about the item.
Recipes
Recipes and formula costing estimate the cost of a dish from ingredients and add-ons you enter. That estimate is a kitchen tool. It is not a nutrition label, an allergen declaration, or a food-safety approval.
POS till
The till is an installable screen for walk-in sales. It can apply the taxes you have set, print or send a receipt, and keep a day account that each cashier opens and closes. You choose who can sign in to a till. You are responsible for cash, mobile money taken at the counter, and the receipts your cashiers issue.
Online store, delivery and share links
The store is a public page for your catalogue, with search, a cart, delivery zones, customer accounts and checkout through the payment provider you connect (Paystack for card and mobile money on the store). A sale on the store is a contract between you and the shopper. You set the zones, the fees, and how the order is fulfilled.
Share links let a recipient view, download and pay a document. Anyone who has the link can open it, unless you set a password. Treat a link the way you would treat the document.
Taxes on your documents
The workspace can calculate VAT, the National Health Insurance Levy, the GETFund levy and the COVID-19 Health Recovery Levy on invoices, receipts and POS sales, at the rates you save. You can restore a Ghana default set and then edit it. You confirm that those rates are the ones the law requires for your business before you charge them. BlueQ does not register you for tax and does not file your returns.
Reports
Reports, including custom and scheduled reports on plans that include them, summarise records already in the workspace. They are for your management. They are not audited accounts and they are not a return filed with the Ghana Revenue Authority.
Users, roles and branches
You can add users up to the limit of your plan, give them roles, and on higher plans use more than one branch. A role decides who can view, change or delete each module. Activity in a branch is visible to users you authorise for that branch. You are responsible for removing access when someone leaves.
SMS, WhatsApp and email
Messages go out only when you send them or when a trigger you configured fires. Channels are SMS, WhatsApp and email, as your plan and your message settings allow. WhatsApp uses the number you connect and is billed as a separate monthly subscription at the price shown on the site. SMS uses credits included in your plan and credits you buy. Delivery logs show the result the network reports back. Rules for consent, sender IDs and content are in Your duties.
What stays outside the service
- Card payments and mobile-money checkout are provided by payment companies licensed under the Payment Systems and Services Act, 2019 (Act 987). BlueQ records the result they report.
- Appointment booking, prescription dispensing and hotel room management are outside the service.
- Clinical notes, diagnoses and prescriptions belong in a system licensed for health records. BlueQ can hold billing details and balances for a clinic, with access limited by roles.
- Filing with the Ghana Revenue Authority, the Data Protection Commission, the National Communications Authority and your sector regulator stays with you.
Fees, payments and tax
Plans and the trial
The current plans, limits and prices are on the pricing page. Paid plans include a 30-day trial. You can open a workspace without a card, and you subscribe when you want paid features to continue. When a trial ends, paid features remain available only on an active subscription. Plan limits cover users, branches, stores, tills, included SMS and API access. The service can block use past a limit until you change plan.
Six-month and yearly prices, and any free months included in those terms, are the prices shown when you subscribe. Enterprise terms are agreed separately.
How you pay
Subscription fees, SMS top-ups and the WhatsApp subscription are collected by the payment provider configured for that checkout. Shoppers on your store, and clients paying an invoice link, pay the provider you have connected, currently Hubtel, Paystack, Flutterwave or MojoPay where that provider is offered for the flow. Those companies are responsible for authorising the payment. Their terms apply to the payer as well as these terms.
BlueQ does not take or store the full card number, card security code, or mobile-money PIN. We store the payment reference, amount, status and the mode the provider returns, so the invoice, sale or subscription can be updated.
SMS credits are prepaid message units for this service. The WhatsApp fee is a subscription for messaging on the number you connect. Credits and that subscription are service charges. They are not electronic money under the Payment Systems and Services Act, and they cannot be withdrawn as cash. A message that leaves BlueQ, including a message sent from the sandbox, is a real message and consumes credit or sits inside the WhatsApp subscription.
Cooling-off, failed payments and price changes
Where you are a consumer under the Electronic Transactions Act, 2008 (Act 772), you may cancel an electronic supply of services within seven days after the agreement, without penalty, unless an exception in that Act applies. The Act removes that right once performance of the service has begun with your consent. Opening the workspace and using it is that request, so the seven-day right ends when use begins. Fees for a period that has already started, SMS credits you have used, and messages already sent are not refunded by BlueQ. A payment provider may still reverse a charge under its own rules, including where a payment fails or is charged back.
We may change plan prices or included allowances. The pricing page will show the new price before it applies to a renewal. The price you confirm at checkout is the price for that period, plus any fee the payment provider charges for processing the payment.
Your taxes
You are responsible for registering with the Ghana Revenue Authority where the law requires it, for charging VAT and the related levies correctly, for issuing the tax invoice the law requires, and for keeping records and filing returns under the Revenue Administration Act, 2016 (Act 915) and the tax Acts that apply to you. If the law requires tax on our own subscription fees, the checkout or the receipt will show it.
Your duties
Account security
You keep usernames, passwords, till access, API keys and mailbox control inside your business. Sign-in can use a password, a code by SMS, email or WhatsApp, or Google or Apple where you choose those. Tell us through the contact form if you believe an account or key is compromised, and regenerate any exposed API key from Settings. You are responsible for actions taken with your users’ access and your keys until you close that access.
Personal data you put in BlueQ
For client, staff, supplier and shopper data, you decide the purpose and the means. Under the Data Protection Act, 2012 (Act 843) you are the data controller for that data, and BlueQ is the data processor. You will:
- Collect only what you need, tell people why you have it, and keep it accurate.
- Give each user the smallest role that lets them do their job.
- Register with the Data Protection Commission where the Act requires a controller to register.
- Answer access and correction requests from your clients, staff, suppliers and shoppers. We will help you with the copy of workspace data needed to answer, once we are satisfied the request is yours.
- Keep special personal data — including information about health, race, ethnic origin, religion, political opinions, sexual life or criminal behaviour — out of BlueQ unless you have a lawful basis under the Act and access is limited by roles. Billing a patient by name is a different record from a clinical note.
Messages
You may send SMS, WhatsApp and email only to people you have a lawful reason to contact. Marketing and other unsolicited commercial messages must comply with the Electronic Transactions Act, 2008 (Act 772): identify your business, send only where you may lawfully send, and stop when the person opts out. An SMS sender ID must be one the National Communications Authority allows you to use. You are responsible for the content, the recipient list and the timing. Message credits are consumed when the message is submitted to the network.
Your customers
Goods and services sold on an invoice, at the till or on the store are sold by you. Consumer information, delivery, refunds and complaints under the Electronic Transactions Act and the law of sale of goods sit with your business. BlueQ provides the page, the till and the document.
Acceptable use
You will not use BlueQ to break the law of Ghana or the law of the place where your customer is. That includes the Cybersecurity Act, 2020 (Act 1038), the Anti-Money Laundering Act, 2020 (Act 1044), and the Electronic Transactions Act. You will not probe, disrupt or overload the service, attempt to read another workspace, or bypass plan limits, rate limits or roles, including by splitting activity across accounts. You will not upload malware or use the messaging tools to deceive recipients about who you are.
Licence, suspension and closure
We license you to use BlueQ during a trial or a paid period, within your plan. The software, the design and the BlueQ name remain ours, protected under the Copyright Act, 2005 (Act 690) and related law. Your records, your logo and your catalogue text remain yours. You give us the rights we need to host, back up, display and transmit that material solely to provide the service and to meet the law.
We may suspend a workspace, a till, a store or API access if fees are unpaid, the subscription has ended, a payment provider asks us to stop a flow, or the account is being used in a way that harms the service, other customers, or the law. Where we can, we will tell the account contact and give a chance to put it right. We may close a workspace that remains in breach. You may stop using BlueQ at any time. You can download invoices, receipts and reports from the workspace, and you can delete selected records under Settings, before you ask us to close the account.
Liability
BlueQ is provided with reasonable care and skill. We do not promise uninterrupted service. Nothing in these terms limits liability for fraud, or any duty the laws of Ghana do not allow us to limit, including duties under the Data Protection Act that cannot be waived.
Subject to that, our total liability arising out of the service in any 12-month period is limited to the fees you paid us for BlueQ in that period. We are not liable for lost profit, lost custom, or decisions you take from reports, recipe costs, stock counts or tax calculations, or for the acts of a payment provider, a mobile network, or a messaging network. You will cover us against claims that arise from your documents, your messages, your products, the personal data you upload without a lawful basis, and your sales to your own customers.
Privacy Policy
This policy explains how personal data is handled on BlueQ. It is written to meet the Data Protection Act, 2012 (Act 843), including the principles of accountability, lawfulness, purpose specification, compatibility of further processing, information quality, openness, security safeguards, and data-subject participation.
Who controls the data
- Your workspace data. You are the data controller for personal data about your clients, staff, suppliers and shoppers. We process it on your instructions to provide the modules you use. Our instruction from you is the configuration of your workspace: what you enter, import, send, publish and delete.
- Your account with us. We are the data controller for the account contact, user login details, subscription and payment references, support messages, and security logs about how the service is accessed.
Where the Act requires registration, the controller of that processing registers with the Data Protection Commission. A person whose data appears only because they are your client should contact your business first. Contact us if you need help reaching the right workspace, or if the request is about your own BlueQ account.
What each module holds
We store the personal data the module needs, and no other category by default.
- Account and users. Name, email, phone, password secret or sign-in token, role, branch, optional two-factor destination, and Google or Apple identifiers if you use those sign-in methods.
- Dashboard, sales, reports. The same business records, summarised for users you authorise. A scheduled report is sent to the addresses you set.
- Invoices and share links. Client name and contact details, line descriptions, amounts, tax, payment status, notes, reminder text, and who opened a link.
- Orders. Customer and delivery details, job notes, due dates, and the staff assigned.
- Clients and the client portal. Contact details, birthday if you store it, balance, delivery contacts, and portal login.
- Suppliers and expenditure. Supplier and payee contacts, amounts, and receipt images you upload.
- Stock, catalogue and recipes. Product and ingredient data. This is personal data only if you put a person’s name or contact in a note, a label or an image.
- POS. Cashier identity, the sale, the payment mode, and a phone or email if you send the receipt.
- Online store. Shopper name, phone, delivery address, order contents, and the payment reference returned by the provider. The provider processes the card or mobile-money details.
- Messaging. Recipient numbers and emails, the message body, attachments you add, and the delivery result.
- API. The key identifier, time, endpoint, status and IP address of requests, shown in Settings.
Why we process it
- To provide the workspace, till, store, portal and API you asked for, and to send messages you or your triggers request.
- To take subscription and message payments and keep a record of them.
- To protect the service, investigate abuse, and keep the logs the security of the service requires.
- To meet legal duties that apply to us, including duties on our own fees and duties to respond to a lawful request from a competent authority in Ghana.
- To reply when you write to us. We do not use your client lists to advertise other businesses, and we do not sell personal data.
Further processing stays compatible with those purposes. If we ever need a new purpose that the Act treats as incompatible, we will ask the controller (you, for workspace data) before we do it.
Who we share it with
We share personal data with service providers who process it for the purpose above:
- Payment companies you connect — Hubtel, Paystack, Flutterwave and MojoPay — who receive the payer details and amount needed to take or reconcile a payment.
- SMS, WhatsApp and email networks that deliver messages you send. WhatsApp delivery uses the connection you configure.
- Google or Apple, only if a user chooses that sign-in method. Their own terms cover that sign-in.
- A hosting or infrastructure provider that stores the workspace so the service can run.
We also disclose data where Ghana law requires it, or where you instruct us to (for example a report you schedule to your accountant). A shopper’s contract is with you. We give you their order details so you can fulfil it.
Transfers outside Ghana
The Data Protection Act restricts the transfer of personal data outside Ghana. A transfer is made only where the recipient is bound by a law, contract or rules that give an adequate level of protection, where you or the data subject has consented, where the transfer is necessary to perform the contract with you (including payment and message delivery), or where the Data Protection Commission has authorised it. Payment, messaging and sign-in providers may process data outside Ghana under those conditions.
Security
Connections to BlueQ are encrypted in transit. Workspace access is limited to the users and roles you set up, with optional two-factor sign-in. Payment card numbers and mobile-money PINs are handled by the payment provider, not stored by BlueQ. You are responsible for the strength of your passwords and for who you invite.
If we learn of a breach that puts personal data in a workspace at real risk, we will tell the account contact without undue delay, say what happened, and say what we are doing about it, so you can meet your own duties under the Data Protection Act and, where it applies, notify the Data Protection Commission or the Cyber Security Authority.
How long we keep it
Workspace records stay while the account is open, unless you delete them. Settings lets an authorised user permanently delete selected modules. Deletion is immediate and cannot be undone. Sandbox data is a separate copy: it is not backed up, and it is removed when you reset the sandbox or close the account.
After a workspace is closed we delete or de-identify its content within a reasonable time. We keep subscription, payment and security records for as long as tax, accounting or legal duties require, including record-keeping under the Revenue Administration Act. API and sign-in logs are kept for security and support and then deleted or reduced.
Your rights, and the rights of people in your data
Under the Data Protection Act a person may ask whether personal data about them is held, ask for a copy, ask for correction of data that is wrong or incomplete, and object to processing that is causing or is likely to cause unwarranted damage or distress. They may also complain to the Data Protection Commission.
- If you are a BlueQ customer, use the contact form for a request about your account. To ask us to delete the account and the data associated with it, use Delete your BlueQ account. You can download invoices, receipts and reports yourself, and you can correct workspace records in the product.
- If you are a client, shopper or member of staff of a business that uses BlueQ, write to that business. They control the record. We will point you to them if you write to us, and we will assist them when they ask.
The service is for businesses. Do not create a user account for a child. If a client record includes a child, for example a parent buying for them, you need a lawful basis under the Act and you should collect only what the sale requires.
Cookies
The signed-in workspace uses a session cookie so you stay signed in and so we can protect the account. It is required for the service. The public marketing pages do not use advertising cookies.
API Terms
These terms apply when you use the BlueQ Developer API (documentation), together with the terms and the privacy policy above. The API reads and writes the same modules the workspace uses: clients, invoices, payments, sales, orders, stock, the store, and the other resources listed in the current documentation.
- Live API access is included only in plans that list it. Read-only or read/write access and the request rate limit depend on your plan and may change with it.
- Every plan can use a sandbox key, which works on a separate sandbox copy of your workspace. Sandbox data can be deleted when you reset the sandbox or close your account and is not backed up. SMS, email and WhatsApp messages sent from the sandbox are real and are charged like any other message.
- Your API key acts on behalf of your workspace with the access your plan allows. Keep it secret. Do not put it in a public web page, a mobile app shipped to other people, or a code repository. A key is part of the security safeguards the Data Protection Act expects you to keep around personal data.
- If a key may have been exposed, regenerate it immediately from Settings. You are responsible for all requests made with your key, including personal data those requests collect or send.
- Requests over the rate limit are rejected. Do not try to get round rate limits, plan limits or access controls, for example by using several keys or accounts. That misuse is a ground for suspension.
- Requests are logged (time, endpoint, status and IP address) for security and support, and you can view them in Settings. Those logs can include identifiers of people in your workspace. They are kept for the period described in the privacy policy.
- BlueQ may suspend API access for a workspace that harms the service or other customers, whose subscription has expired, or that uses the API to process personal data in breach of the Data Protection Act.
- Published API versions stay stable. Breaking changes are released as a new version, and older versions are retired only with advance notice.
For API questions, use the contact form.
Ghana law and contact
These terms, the privacy policy and the API terms are governed by the laws of the Republic of Ghana. The courts of Ghana have jurisdiction. The Acts that shape this document include:
- Data Protection Act, 2012 (Act 843), supervised by the Data Protection Commission.
- Electronic Transactions Act, 2008 (Act 772), for electronic contracts, consumer information and commercial messages.
- Electronic Communications Act, 2008 (Act 775), and the rules of the National Communications Authority, for SMS and sender IDs.
- Payment Systems and Services Act, 2019 (Act 987), supervised by the Bank of Ghana, for the licensed providers who take payments.
- Cybersecurity Act, 2020 (Act 1038), supervised by the Cyber Security Authority.
- The tax Acts administered by the Ghana Revenue Authority, including VAT, the NHIL, the GETFund levy, the COVID-19 Health Recovery Levy Act, 2021 (Act 1068), and the Revenue Administration Act, 2016 (Act 915).
If a provision in these terms conflicts with a duty that the law of Ghana says cannot be varied, the law prevails for that duty and the rest of the terms continue. A notice to you may be sent by email to the account contact, shown in the workspace, or posted on this page. A notice to us should be sent through the contact form.
Questions about these terms, privacy requests about a BlueQ account, and API questions all go through that form. A request to delete a BlueQ account and the data associated with it goes through the account deletion page. Your own clients should contact your business about records you control.
